SALESPROCONSULTING.COM MEMBERSHIP USER AGREEMENT AND TERMS OF SERVICE AND DISCLAIMER

The following is the terms of the Member/User Agreement between Sales Pro Consulting (hereinafter referred to as “Sales Pro Consulting”) and any Member/User/You (or any person using this website) through the use of this website ( http://www.SalesProConsulting.com ). Please review these terms carefully before using or joining as a member of Sales Pro Consulting.

1. INTRODUCTION
Member/User agrees to the terms and conditions contained in this Member/User Agreement and this constitutes the entire and only agreement between Sales Pro Consulting and its Members, Users or any other person whosoever and supersedes any and all prior or contemporaneous agreements, representations, warranties and all understandings with respect to the use of this website

2. MEMBER’S ACCOUNT
Upon registration, each member will be provided a user name and password to enter the Members area wherein a Member will be able to use the Sales Pro Consulting system in various ways to begin to assist in generating sales leads in order to help grow their realty business.
Signing up to become a paid Member of this Sales Pro Consulting website and or continued use of the Sales Pro Consulting services constitutes acceptance of this Agreement and any future versions. Both parties Sales Pro Consulting and Members hereto will be acting in an individual capacity and not as agents, employees, partners, joint ventures, or associates of one another.

3. AGE DECLARATION
By registering for the Sales Pro Consulting, a Member hereby affirms that they are of legal age of employability as deemed by the governing authorities of the client's country of origin.

4. EDITING, DELETING AND MODIFICATION
Sales Pro Consulting reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms listed on this page, at any time. Sales Pro Consulting reserves the right to do any of the following, at any time, without notice: (1) to modify, suspend or terminate operation of or access to the site, or any portion of the site, for any reason; (2) to modify or change the site, or any portion of the site, and any applicable policies or terms; and (3) to interrupt the operation of the site, or any portion of the site, as necessary to perform routine or non-routine maintenance, error correction, or other changes. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms of Use, Sales Pro Consulting grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site.

5. PAYMENT
Sales Pro Consulting currently accept payment for a Sales Pro Consulting services by either Bitcoin or other payment methods displayed at the time of checkout, which may include credit card payment. There is a one time fee to join as a member to gain acess to our lead generating system and information contained in the members area. Member/User represents and warrants that (i) the Credit Card information supplied is true, correct and complete and (ii) charges incurred by the Member/User will be honoured by Member/User’s Credit Card Company and (iii) Member/User shall pay charges incurred by the Member/User at the amounts in effect at the time incurred, including all applicable taxes. Member/User shall be responsible for all charges incurred through the use of Member/User’s password. Member/User agrees to keep his or her password confidential and to notify Sales Pro Consulting within 24 hours of any breach of this Agreement or unauthorized use of the password. Sales Pro Consulting does not protect Member/User from unauthorized use of Member’s/User’s password.

6. USAGE
The Sales Pro Consulting service is only meant for private use by individuals who are seeking help in growing their real estate sales and sales leads. Any Member found using the Sales Pro Consulting service for any other use than as a regular means to try and grow their realty business; will have their account access deleted.

7. LIMITED LIABILITY
Sales Pro Consulting and its employees, agents, or assigns are not liable for any costs of damages arising directly or indirectly from the use of the service, including any indirect, incidental, exemplary, multiple, special, punitive, liquidated, or consequential damages, including lost profits, even if Sales Pro Consulting has been advised of the possibility of such damages. Sales Pro Consulting do not assume responsibility in any way for the information that is provided by to the Members that they might discover by visiting some of the links that might take the Member to other internet websites. The use of any other service or website that a Member might go to or use as a result of using the Sales Pro Consulting Members area is completely at the Members own risk and Sales Pro Consulting do not actively review the types of contacts, content, services, or information contained as a result of visiting any external link by way of the Sales Pro Consulting Members Area. By becoming a Member a Member hereby exclude Sales Pro Consulting from any liability that may result in the use of any other services that might arise by using the Sales Pro Consulting services. Upon logging into the Sales Pro Consulting members area members will be asked to complete the submission of their realty information in order for Sales Pro Consulting to be activated. We call this step 1. Step 1 is mandatory in order for us to begin advertising your realty business online. Subsequent steps are required to be completed for service to begin. Regarding our affiliate program; we also offer a standard free to join internet affiliate program which is a standard multi-tier affiliate program (which is your standard affiliate program you'll find on any website). 8. TERMINATION
Any unauthorized use of the Sales Pro Consulting service will be grounds for termination of this Agreement by Sales Pro Consulting and or cancellation of a member’s Membership.
Either party may terminate this Agreement at any time and for any reason. A Member must provide notice of intent to terminate to Sales Pro Consulting by email which they can send to us at the Sales Pro Consulting contact page at: (www.SalesProConsulting.com/contact.htm).
Without prior notice, Sales Pro Consulting may terminate this Agreement, a Members account, or a Members use of the service, for any reason, including, without limitation, if Sales Pro Consulting, in its sole discretion, believes a Member has violated this Agreement, the Sales Pro Consulting Acceptable Use Policy, or any of the applicable user policies. Sales Pro Consulting may terminate a Members account without notice. (this is very rare and only in the most extreme of situations).

9. DISPUTE RESOLUTION
Upon agreement by the parties, any disputes may be resolved through arbitration. The decision of the arbitrator shall be binding upon both parties. Sections 2, 3, 4, 6, 7, and 11 of this Agreement shall survive termination. This waives any right to that Member/User may possess to have disputes litigated in a court or by jury.

10. REFUND POLICY
Try the exclusive realty Recruitment Center™ membership for 60 days. And if for any reason you're not satisfied within 60 days after joining, then let us know and we will take additional measures to ensure you're fully satisfied. Keeping that in mind, providing this service does require our time and effort to maintain and deliver, so all sales are final and we do not provide any refunds. During the first 60 days if there's any issues, we promise to go the extra mile to ensure you're more than satisfied with our service. If no issues or objections are raised within the 60 days, this will constitute a members acceptance and also their satisfaction of and with the Sales Pro Consulting Members Area and services provided by SalesProConsulting.com.

11. VALID AND CURRENT PAGES
Sales Pro Consulting does regular maintenance on the website to attempt to ensure all pages are as current as possible. However, Sales Pro Consulting do not guarantee, or warrantee how current any page of the Sales Pro Consulting site is. Please contact us if a Member would like to verify if information on any specific page is current. An example of this is some pages list various realty companies. If say for example one of these realty companies went out of business, that listing might still remain on a certain page of the website even if it's not current. Eventually out-dated information gets updated and replaced. If you should notice any issues on our website please alert our staff immediately by emailing us off our contact page. Sales Pro Consulting generally tries to ensure everything a Member visits by way of clicking on the main menu (which is on most pages in the upper left of the page, or the bottom of each page) is up to date and current. Also Sales Pro Consulting attempts to ensure all pages linked to those main pages of the site are kept up to date, one level of links deep. Again please check with Sales Pro Consulting if a Member would like to verify any specific information on any of the Sales Pro Consulting websites pages. Also links to this page are available on every page of this website, by clicking the disclaimer link at the bottom. We have also provided a statement on the bottom of every page of the Sales Pro Consulting website in the bottom left hand corner asking prospective Members to please read over this page before joining; said statement is also linked to this page. Anyone joining as a Member of this site is hereby legally bound to terms and conditions contained herein.

12. DISCLAIMER
Sales Pro Consulting is a unique online Membership, which provides realtors and brokers with specific resources, information, tools and training that can aid members in growing their sales leads and realty businesses. Effectively members are buying a lead generation system along with training materials, information. Sales Pro Consulting has no specialized contact or agreements with the companies or websites listed in the Sales Pro Consulting Members area. Sales Pro Consulting does not guarantee or assume any responsibility for the accuracy of any information in the Sales Pro Consulting databases or members area. Although Sales Pro Consulting does occasional updates and quality control screenings, however, Sales Pro Consulting cannot guarantee elimination of all errors. Sales Pro Consulting makes no express warranties or guarantees and waives all implied guarantees, including, but not limited to the guarantees at the Sales Pro Consulting site located at Sales Pro Consulting.com. By becoming a Member of Sales Pro Consulting.com, a Member hereby agree to have read and accepted the terms and conditions on this page in full. The service, content and services from or through the service are provided “as-is”, “as available”, and all warranties, express or implied, are disclaimed. Sales Pro Consulting and any of its affiliates shall not be liable for incidental, consequential, indirect, special or punitive damages or liabilities of any kind arising out of or in connection with the sale or use of this service, whether based in contract, tort (including negligence), strict product liability, or service liability, or any other theory, even if Sales Pro Consulting has been advised of the possibility of such damages and even if any limited remedy specified herein is deemed to have failed of its essential purpose. Set forth above are the fundamental elements of the basis between Sales Pro Consulting and Members/Users.

13. PROCEEDURE
Once a Member logs into the Members area of the Sales Pro Consulting site the Member is provided with a variety of options to choose from, including the activation of our lead generation system. This service is activated by completing the steps outlined in the members area. Completing the steps outlined could take several hours. Should a member not wish to spend the time required to complete all the steps, our agency can complete the steps on the members behave for an additional fee. During the set up process Members are to provide clear instruction and contact information in order for prospects (leads) to contact them. However, in most cases a simple web address (website address or blog) provided by the Member will direct prospects to the Members main website in order to begin to the process of attempting to get the prospect to contact the member, which would constitute a sales lead.

14. PERFORMANCE
Sales Pro Consulting shall be deemed to have performed its obligations under this Agreement upon providing the Member with access to the Members area in the form of a user name and password. The user name and password will be provided shortly after online payment has been made via Bitcoin or alternative payment method. Generally the user name and password will be emailed to the email provided by the Member at the time of purchase. If a user does not receive their user name and password after making a purchase or if their username and password is not working properly the Member should contact us via the Sales Pro Consulting contact page at: (www.SalesProConsulting.com/contact.htm) and let us know so that Sales Pro Consulting can remedy the problem. However, Sales Pro Consulting reserves the right to refuse access of services to any Member for any reason it deems appropriate. Sales Pro Consulting Membership and service is a combination of two parts, Part 1 and Part 2. Part 1 is the setup of the lead generation system which is a series of steps (small tasks) that need to be completed which can in some cases take a few hours. Part 2 is the Members own efforts to continually build their realty advertising aided by the various tools, information, training, and resources that Sales Pro Consulting has made available to Members inside of the Members Area of the site. When a Member first logs into the members area they need to complete "Step 1" which is providing details on their realty business. Also completing a series of necessary steps. Completig these stesp will begin to activate the system. If a member does not complete the steps after they join this would limit their ability gain sales leads from local buyers/sellers. Sales Pro Consulting cannot guarantee the actual number of sales leads Realtor will receive using the system. Sales Pro Consulting simply cannot know how much interest there may be in any given city, town or geographical area in which a Member will be attempting to grow their realty business. Some areas of any country might attract more leads to a Members while others might attract less depending largely on a variety of factors including but not limited to: the realtors marketing, housing prices, housing demand, property market conditions, lending conditions, follow up by the Member to prospect inquiries and leads, and various other factors. This applies to both Part 1 and Part 2 of or service that was previously talked about, as well as applies for each level of the different Memberships. Each member is responsible for using all the various tools and resources available in the Sales Pro Consulting Members area as their means to build their realty leads. A Member should anticipate that it could take up to 90 days to begin seeing steady results, assuming that the Member completes the steps and applies all the resources provided that they will receive in the members area. Should a Member for some unknown reason not receive a number or frequency of sales leads that is satisfactory to the Member, they can either contact Sales Pro Consulting within the first 60 days of service and Sales Pro Consulting will make additional efforts to assist the member in promoting their realty business, as an additional attempt to get more sales leads to contact the Members (this is in accordance with our 60 day satisfaction guarantee). Any actual numbers of leads mentioned on the site that a Member could potentially gain are for example purposes only, actual numbers of leads and clients and or sales that a Members will receive will vary. Volumes of leads such as any actual numbers outlined on the index page (ie: 3-12, 20-50) are approximate numbers and should not be relied upon as exact amounts of leads or clients that a member will get, actual numbers may vary. Sales Pro Consulting is not to be used or thought of as a replacement for a Member to continue their own individual efforts in on-going advertising and promotions and regular training provided by their realty company to make on-going efforts to increase their business and or grow their lead volume and sales. Sales leads are received are only to be contacted in accordance with following your local guidelines, laws, or regulations that explain how to do so; and members should be fully aware of those regulations. You understand that not all the leads might be immediately wanting to purchase or sell but might just have questions. Members take full responsiblity and agree to hold Sales Pro Consulting harmless for the manner in which the member decides to use the sales leads (available in the bonuses section) such as contacting them in an attempt to promote their realty servies.
Should the member so choose, their realty services contact info will be is shared with prospects that are seeking to buy and sell property. Everything on this page also applies to each and every product or service sold directly by Sales Pro Consulting. Sales Pro Consulting reserves the right to modify any page that you create by the use of our client aqcusition system or CAS which builds doorway pages that can aid and increase the likelihood of prospects learning about your realty services. Any information submitted to Sales Pro Consulting by it's members such as webpages that are built using the CAS system or articles submitted to Sales Pro Consulting by members becomes the sole property of Sales Pro Consulting. Your information covering your realty services will appear on what we call your "realty page" which links direct to your actual realty company web page, the information on your opportunity page is in no way co-branded with our company Sales Pro Consulting. We are simply displaying information you provide on our site to aid in helping prospective buyers and sellers find out about your realty services; thus our companies and businesses are no way interlinked, partnered, or doing business together; and we are still acting and doing business completely independently from one another.

15. INDEMNIFICATION
By joining any extra website or services you find listed on the Sales Pro Consulting.com website you hereby indemnify, defend and hold Sales Pro Consulting harmless of any liability, loss, claim, expense, and potential damages that could result. We do not prescreen the leads that you're able to gain using our system. So if you do any business or render services to any of the leads or people that contact you, which were in some way referred to you by way of the Sales Pro Consulting.com website, whether directly or indirectly, you fully understand and are aware that they're no guarantees of them completing a sale or purchase. In the event of any dispute that could arise between you and a sales lead that was derived by way of Sales Pro Consulting you agree to sort out the matter in the typical fashion you would the say way as any other client you work with, and you hereby agree to hold Sales Pro Consulting harmless for any issues that could result in loss to you the member. Sales Pro Consulting is not associated in any way with any real estate agency or brokerage.

16. ACKNOWLEDGMENT
Should any provision of this Agreement be found invalid, ineffective or unenforceable under present or future laws, the remainder of the provisions shall remain in full force and effect and shall in no way be affected, impaired or invalidated. No waiver of breach of any provision of this Agreement shall constitute a waiver of any other breach, or of such provision. Failure of Sales Pro Consulting to enforce at any time any provision of this Agreement shall not be construed as a waiver thereof. The remedies reserved by Sales Pro Consulting under this Agreement shall be cumulative and additional to any other remedies in law or equity.

17. EARNINGS DISCLAIMER & INCOME DISCLOSURE STATEMENT
Sales Pro Consulting provides advertising services, training, tools, information and resources to Realtors and Real Estate Brokers to assist in their business development, growth, and locating sales leads via the internet, which is provided as a membership package the client accesses in our members area of the website. Every effort has been made to accurately represent the Sales Pro Consulting services and its lead generation potential. Every Member looking to try and increase their realty business and income comes in with different situations and different skill sets including but not limited to such areas as: location of the Realtor (city/town), the time they have available to work on their Realty business, their internet and computer skills, the housing market conditions, the leaning market conditions, the members communication skills, sales skills and over all skills and abilities as a Realtor. Members join Sales Pro Consulting to use our services to promote whichever Realty business, agency or service that they are currently apart of, and undertaking to promote. Some of these companies the realtor might be apart of working include, but are not limited to: Re/Max, Keller Williams, Century 21, Coldwell Banker, Royal LePage, Sutton and various other real estate agencies. Each Members realty business is going to be different, involving different types of sales training, different geographical locations, different compensation plans, corporate marketing, cost of entry, agency rules and regulations, and various other factors. Due to this fact, and although Sales Pro Consulting will make every effort to aid in building up the Members sales leads and business in an attempt to help a Member gain interest ultimately in the pursuit of attracting new clients and making more property sales, and grow a Members realty business, however, there is no guarantee that as a result direct or indirect of use the Sales Pro Consulting services a Member will increase their business, gain more leads and or earn any more money as a result by using the Sales Pro Consulting services and the resources available in the Members area. This is mainly due to all the extenuating factors that need to be considered, so although the generation of new sales leads using our system is very likely, we do not guarantee it based on all the various factors previously mentioned. Sales Pro Consulting is simply a membership offering a variety of tools and training that can aid in a Realtors development of gaining online leads. We do not position this product as a way to get rich through Realty sales. A Members level of success in attaining the results claimed in our materials depends on the time a Member devotes to utilizing the tools and resources available in the Membership, which includes a Member’s continued use of all the various resources provided in the Sales Pro Consulting Members area, a Members finances, knowledge, business and computer skills, advertising skills, realty industry experience, sales and marketing and other various skills. Since these factors differ according to individuals, we cannot guarantee success in increasing a Members realty business or income level. Case studies are not typical and should not be relied upon as standard results based on use of the Sales Pro Consulting membership. Sales Pro Consulting is not responsible for how much additional income a Members will earn, if any. Sales Pro Consulting does not guarantee nor warrantee any number of sales leads that a Members will be able to generate.

18. WARRANTIES
Sales Pro Consulting does not guarantee or warrantee the quality or quantity of prospective clients that a Member might generate by way of the membership. Materials on the Sales Pro Consulting website may contain information detailing estimates of potential earnings but are not to be relied on as typical or guaranteed results. Many factors will be important in determining a Member’s actual result and no guarantees are made that a Member will achieve results similar to other Members posted results, in fact no guarantees are made that a Member will achieve any results from our services, resources, ideas, tools, training, and techniques provided in the Sales Pro Consulting Members area. If a Member does not understand or agree with any of these terms or conditions on this page, they are not to proceed in joining as a Member. Again, although many Members have reported strong improvements in their realty income and growth in their realty business, it is important that prospective Members understand that actual results using the Sales Pro Consulting services will vary. And as with any business the actual results that a Member will receive will vary greatly depending on many factors, many of which are well beyond any control that Sales Pro Consulting has over them (example: market conditions, geographical location of the Member, and many other factors. As a result of this, Members hereby assumes any and all responsibility and liabilities for their success or failure and increase in volume of total sales leads and potential increase in a Members realty sales income. Sales Pro Consulting provides no warranties. The foregoing warranties and remedies are exclusive and in lieu of all other warranties, terms or conditions, express, implied or statutory, as to any matter whatsoever, including, without limitation, warranties of merchantability, fitness or a particular purpose, accuracy, satisfactory quality, title and non-infringement, all of which are expressly disclaimed by Sales Pro Consulting no agent, employee, dealer, affiliate, or representative or reseller is authorized to modify or extend this limited warranty or to make binding representations or claims, whether in advertising, presentations or otherwise, on behalf of Sales Pro Consulting regarding the products or services or this limited warranty. The above disclaimer applies to any damages, liability or injuries caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of or unauthorized access to, alteration of, or use, whether for breach of contract, tort, negligence or any other cause of action. This and all other statements concerning liability also apply to our affiliate program and to our affiliates. As a Member of the Sales Pro Consulting website and or the Sales Pro Consulting affiliate program you hereby fully understand and agree to these statements.


19. SUBSCRIPTION REQUIREMENT
Upon joining as a paid Member of Sales Pro Consulting the Member will be provided with a login id and password which they can then use to access our paid Members only area. They can log into this area by clicking on the Members Login link located in the upper right of each page or by clicking on the grey colored box in the upper right corner of any page of the Sales Pro Consulting website or by going to: http://www.SalesProConsulting.com/memberslogin.htm and then entering their login id and password when prompted to do so. Members will notice a small blue checkmark beside the follow statement on the main order pages of the Sales Pro Consulting website that says: "By choosing to complete payment and join, you agree to the Sales Pro Consulting User Agreement"; this statement applies to each of our types and levels of service offered to both Realtors and Brokers. Beside the said checkbox is a link to this page allowing the Member to read over all the details on this page before registering on the website. The same statement is repeated at the bottom of the order page indicating that the Member has read and acknowledged this User Agreement prior to joining as a member. A further third link on the order page going to this User Agreement can also be found at the bottom of the order page entited User Agrement. The checkbox and checkmark on our order pages indicates that a Member has fully read, understood and agreed with all the terms and conditions of this Member/User agreement/Terms of Service and disclaimers found on this page prior to joining.

21. INTELLECTUAL PROPERTY RIGHT
All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork and computer code (collectively, "Content"), including but not limited to the design, structure, selection, coordination, expression, "look and feel" and arrangement of such Content, contained on the Site is owned, controlled or licensed by or to Sales Pro Consulting, and is protected by copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws, this applies to both the public website as well as the information contained in the Members Area of the website. Except as expressly provided in these Terms of Use, no part of the Site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including "mirroring") to any other computer, server, Web site or other medium for publication or distribution or for any commercial enterprise, without Sales Pro Consulting’s express written consent first sought and obtained. You may use information on Sales Pro Consulting products and services (such as data sheets, knowledge base articles, and similar materials) purposely made available by Sales Pro Consulting for downloading from the Site, provided that you (1) not remove any proprietary notice language in all copies of such documents, (2) use such information only for your personal, non-commercial informational purpose and do not copy or post such information on any networked computer or broadcast it in any media, (3) make no modifications to any such information, and (4) not make any additional representations or warranties relating to such documents.
